SMSeed Terms of Use

1. Agreement and eligibility

These Terms of Use govern your installation and use of SMSeed and related services at getsmseed.com. By installing or using SMSeed, you agree to these terms. If you do not agree, do not use the application.

You must be legally able to enter into these terms. If you use SMSeed for a business, client, brand or other organization, you represent that you have authority to act for it and to connect and publish through its social accounts.

2. License

Subject to these terms and any purchase terms, Signalcrest Media Solutions, LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use SMSeed for lawful personal or business publishing activities.

You may not sell, sublicense, rent, distribute, commercially host, bypass security controls or reverse engineer SMSeed except where applicable law expressly permits it.

3. Your content and accounts

You retain ownership of the content you create or import. You authorize SMSeed to copy, convert, transmit and otherwise process it only as needed to perform the actions you select, including preparing provider-compatible media and publishing to a selected platform.

You are responsible for the accuracy, legality and rights associated with your content, accounts, captions, media and publishing instructions. Do not use SMSeed for unlawful, fraudulent, deceptive, infringing, harassing, abusive, malicious or unauthorized activity.

4. Third-party platforms

Facebook and Instagram are provided by Meta; YouTube is provided by Google; TikTok is provided by TikTok; and X is provided by X. They are independent services. Your use of each is governed by that provider's terms, policies, permissions, quotas, content rules and technical limits.

SMSeed cannot guarantee that a provider will accept, publish, display, retain or delete a post. A provider may change its APIs, review requirements, permissions, media formats, account eligibility, rate limits or features at any time. It may restrict or revoke your account or SMSeed access independently of us.

5. Scheduling and publishing

The current Windows scheduler operates while SMSeed is running and enabled. Publishing can be delayed or fail if the application is closed, the computer sleeps or goes offline, authorization expires or is revoked, a media file is moved, or a provider is unavailable or changes its requirements.

A success message reflects the provider response available to SMSeed at that time. A network interruption or ambiguous response can occur after a provider has accepted content. Before retrying, check the destination to avoid a duplicate post. You remain responsible for final review of published content and for deleting or correcting remote posts when needed.

6. Local data, support and updates

SMSeed stores its working database and Media Library locally. You are responsible for appropriate device backups and for protecting or deleting backup and diagnostic files. Removing a local record does not necessarily delete the related media file or a post already sent to a provider.

We may release security corrections, compatibility updates or new features. Provider changes may make an update necessary for continued publishing. Update availability, pricing, eligibility and any upgrade offer may be presented through SMSeed, getsmseed.com, an application store or purchase terms. SMSeed will not charge you merely because you check for updates.

7. Intellectual property and feedback

SMSeed, its software, branding, interface and documentation are protected by intellectual-property laws. These terms do not transfer ownership of SMSeed to you. If you voluntarily provide suggestions or feedback, you permit us to use them without restriction or payment while we continue to handle personal information under the Privacy Statement.

8. Disclaimers and limits

To the fullest extent permitted by law, SMSeed is provided as is and as available. We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.

To the fullest extent permitted by law, Signalcrest Media Solutions, LLC will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data, content, opportunities or business interruption arising from SMSeed, a provider or these terms. Where liability cannot be excluded, total liability will not exceed the amount you paid for SMSeed during the twelve months before the event giving rise to the claim.

9. Termination, changes and contact

You may stop using SMSeed at any time. We may suspend or terminate related online services when reasonably necessary to protect security, comply with law, address abuse or enforce these terms. We may revise these terms when SMSeed changes. If any provision is unenforceable, the remaining provisions continue in effect.
